Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Portvex (the “Service”), including our website, web application, and Chrome extension. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What Portvex does

Portvex records web-based calls and meetings you choose to capture, transcribes them, produces structured notes (such as summaries, key points, action items, and next steps), and drafts follow-up messages. Features vary by plan and may change over time.

2. Eligibility and your account

You must be at least 18 years old and able to form a binding contract to use Portvex. You are responsible for the activity under your account and for keeping your login credentials secure. Notify us promptly at contact@leadsmatic.com if you suspect unauthorized use.

3. Recording consent is your responsibility

Laws governing the recording of calls and conversations vary by country, state, and region. Some require the consent of all parties. You are solely responsible for knowing and complying with the laws that apply to you and for obtaining any consent required from the other participants before recording a call with Portvex. You agree not to use Portvex to record any conversation unlawfully.

4. Acceptable use

You agree not to:

• Use the Service in violation of any law or third-party right;
• Record or upload content you have no right to record, upload, or process;
• Attempt to access other users’ data, or probe, scan, or breach our security;
• Reverse engineer, resell, or build a competing product from the Service;
• Upload malware or use the Service to send spam or unlawful messages.

5. Plans, billing, and cancellation

Paid plans are billed in advance on a recurring basis (monthly or annual) through our payment processor, Stripe. By subscribing you authorize recurring charges until you cancel. You can cancel at any time from the billing portal; cancellation takes effect at the end of the current billing period, and access continues until then. Except where required by law, fees are non-refundable. We may change pricing with reasonable notice.

6. Free plan and usage limits

The free plan includes a limited number of recording hours per month. When a limit is reached, recording may be paused until the next cycle or until you upgrade. We may change the limits of the free plan over time.

7. Your content

You retain all rights to the recordings, transcripts, and other content you create or upload (“Your Content”). You grant us a limited license to host, process, and transmit Your Content solely to provide and improve the Service for you — for example, sending audio to our transcription provider and generating your notes. We do not sell Your Content. You can delete Your Content at any time.

8. Intellectual property

The Service, including its software, design, and branding, is owned by Portvex and protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service; no other rights are granted.

9. Third-party services

Portvex relies on third-party providers (for example, hosting, payments, transcription, AI, and messaging). Your use of the Service may be subject to those providers’ terms, and we are not responsible for third-party services outside our control.

10. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied. AI-generated notes and follow-ups may contain errors or omissions; you are responsible for reviewing any output before relying on or sending it. We do not warrant that the Service will be uninterrupted, error-free, or secure.

11. Limitation of liability

To the maximum extent permitted by law, Portvex will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months before the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold Portvex harmless from claims arising out of your use of the Service, Your Content, or your violation of these Terms or of any law — including any claim related to recording a conversation without required consent.

13. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or use the Service in a way that risks harm to us or others. On termination, your right to use the Service ends; sections that by their nature should survive will survive.

14. Changes to the Service and these Terms

We may modify the Service or these Terms from time to time. If we make material changes, we will take reasonable steps to notify you. Continued use after changes take effect constitutes acceptance.

15. Governing law

These Terms are governed by the laws applicable at the operator of Portvex’s principal place of business, without regard to conflict-of- laws rules. The courts located there will have exclusive jurisdiction, except where mandatory local law provides otherwise.
